NESTLÉ USER GENERATED CONTENT TERMS AND CONDITIONS

These User-Generated Content Terms and Conditions ("Terms") govern your submission of any content, including text, images, videos, comments, reviews, or other materials ("Content") to Nestlé Products Sdn Bhd ("Nestlé, we, us, or our"). By submitting Content, you agree to these Terms. These Terms must be read in conjunction with any other applicable terms and conditions governing the use of this website.

We reserve the right to amend these Terms from time to time. Amendments will be effective immediately upon notification on this website. Your continued use of the website represents an agreement by you to be bound by the Terms as amended.

1. Your Obligations

You confirm and/or warrant that:

• • You are the creator and owner of the Content, or you have obtained all the necessary rights and permissions to submit it;
• • Your Content is up to date, accurate and not misleading;
• • Your Content is not fraudulent, defamatory and does not infringe the intellectual property rights, confidentiality rights or privacy rights of any person.

2. Grant of Licence

By submitting Content, you automatically grant us a world-wide, non-exclusive, royalty-free, irrevocable, transferrable, perpetual and sub-licensable license to publicly display or re-display, use, copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from and/or distribute such Content and/or incorporate such Content into any form, medium or technology whatsoever (including but not limited to Nestlé websites, third party websites, online and offline advertising, marketing and promotional materials) throughout the world that is used by Nestlé or its agents or the promotion or marketing of Nestlé, its products and services.

To the fullest extent permitted by law, you waive any moral rights you may have in your Content. This includes agreeing that we may modify your Content, use it without crediting you, or use it in ways you might not personally endorse. Where a full waiver of moral rights is not legally permitted, you instead give your irrevocable consent for Nestlé and its designees to carry out any acts or omissions in relation to your Content that may otherwise infringe such moral rights.

3. Compensation

You acknowledge that you will not receive any payment or compensation for the use of your Content unless expressly agreed in writing.

Where applicable, if you have received prior payment or promise of payment in return for your Content; or if you have received an incentive such as free product, discounts, gifts, sweepstakes entries, you will disclose it in your Content.

4. Specific Warnings

You agree that you shall not submit any Content that:

• • Is known by you to be false, inaccurate or misleading;
• • Infringes any third party's copyright, patent, trademark, trade secret, rights of publicity, rights of privacy, moral rights or any other applicable personal or proprietary rights;
• • Encourages or advocates any unlawful or unauthorized behavior or activity, or that violates any law, statute, ordinance or regulation;
• • Is offensive, obscene, vulgar, or is inappropriate for a public, family friendly, and pet-friendly forum;
• • Is, or may be considered to be, defamatory, libelous, hateful, racially or religiously biased or offensive, threatening or harassing to any individual or entity;
• • Includes any information that references third party websites, addresses, email addresses, contact information or phone numbers; or
• • Contains any computer viruses, worms, Trojan horses or other potentially damaging computer programs or files.

5. Right to Remove or Refuse Content

We are not obliged to publish any Content submitted.

We reserve the right to, at our sole discretion, to:

• • Remove or refuse to publish any Content;
• • Suspend or terminate your access to the website.

6. Indemnity

You agree to indemnify and hold harmless Nestlé, its directors, employees, and agents from any claims, liabilities, losses, or damages arising from your Content or any breach of these Terms.

7. Personal Data

Any personal data you submit will be processed in accordance with our Privacy Notice. By submitting a Content, you consent to such processing.

8. Governing Law

These Terms are governed by the laws of Malaysia. In the event of any inconsistency in the Terms between the English language and the other language(s), the English language version shall prevail and govern in all respects.
